Since early 2004, we have been expanding our capabilities through acquisitions and partnerships. These relationships have helped to grow into an advanced diagnostics company focused providing products to enable implementation of the latest advances in patient care and patient management.
Jurilab, Ltd. In July 2005, we announced our equity investment in this Finnish company focused on the discovery and identification of new genes and gene markers associated with the root cause of common diseases and drug responses. Nanogen will acquire certain rights to develop diagnostic products based on genes and gene markers discovered by Jurilab. This investment in Jurilab is an important part of our strategic operating plan to secure access to important molecular targets for advancing the use of diagnostics and personalizing healthcare.
PGXL Laboratories Nanogen has established a relationship with PGXL Laboratories (www.pgxlab.com), a company that has been spun out of the University of Louisville by Dr. Roland Valdes, Jr. and Dr. Mark W. Linder, recognized thought leaders in the field of pharmacogenetics. Through this relationship, Nanogen is supporting PGXL Laboratories’ efforts to develop and commercialize new pharmacogenetics tests and promote the use of pharmacogenetic testing to improve patient care and management. PGXL Laboratories is a CLIA-certified laboratory that provides pharmacogenetic testing services to clinicians, researchers, and corporate partners. Our relationship with PGXL Laboratories demonstrates our commitment to improving and individualizing healthcare through the use of laboratory medicine, and is part of Nanogen’s strategic emphasis on advanced diagnostics.
Gates Foundation Grand Challenge Consortium The consortium, a collaboration of academic, industry and non-profit partners, was recently awarded a $15 million grant by the Gates Foundation. The funded project is aimed at developing and testing prototypes of a device about the size of a handheld computer that healthcare workers could pack into remote regions to quickly and easily make life-saving diagnoses.
Applied Biosystems Under terms of this license and supply agreement, Nanogen's technology is being incorporated into the entire line of TaqMan® reagent products from Applied Biosystems in the research field. These probes now feature Nanogen’s MGB™ technology and its Eclipse® Dark Quencher to offer customers improved accuracy in single nucleotide polymorphism (SNP) genotyping experiments. Further, the Assays-on-Demand service from Applied Biosystems will provide validated TaqMan® MGB assays for SNP genotyping and gene expression studies. Applied Biosystems intends to develop and market Assays-on-Demand to every human gene and gene variant and to >150,000 SNPs distributed across the human genome. Under a separate license agreement, Nanogen has licensed its Eclipse® Dark Quencher technology to Applied Biosystems for incorporation into TaqMan® probes for detection of microorganisms in the environment. The license agreement allows Applied Biosystems to manufacture, sell, and distribute TaqMan probes that carry Nanogen's quencher, and Nanogen to receive license fees and royalties on Applied Biosystems' sales of such licensed products to end-users. Third Wave Technologies Under this multi-element collaboration, Nanogen develops, licenses and supplies its dyes and Eclipse® Dark Quencher to Third Wave Technologies for incorporation into their Invader® operating system for non-PCR genetic analysis. The addition of Nanogen’s technologies provides a significant increase in the throughput and enhances the performance of Third Wave Technologies' Invader® operating system. Celera Diagnostics In 2004, Nanogen entered into a worldwide non-exclusive license with Celera Diagnostics for incorporation of its MGB™ technology and Eclipse® Dark Quencher technology into Celera Diagnostics' products for selected infectious diseases. The license agreement allows Celera Diagnostics to manufacture, sell and distribute TaqMan® probes that utilize Nanogen's minor groove binder and quencher in selected products. Under the agreement, Nanogen receives license fees and royalties on sales of such licensed products to end-users. BioControl Systems Nanogen has licensed its MGB Eclipse™ Probe System technology to BioControl Systems, Inc. for incorporation into BioControl Systems' food testing products. Under the license and supply agreement, BioControl received a non-exclusive license to the MGB Eclipse technologies, and an exclusive license to specific probe sequences for the field of food safety testing. Nanogen received technology access fees, product sales from shipments of MGB Eclipse probes and primers to BioControl, and royalties on BioControl Systems' sales of testing systems to end-users. ARUP Laboratories This collaboration agreement with Associated Regional and University Pathologists (ARUP Laboratories), a national reference laboratory, covers the development and supply of Nanogen’s MGB Eclipse™ Detection Reagents. MGB Eclipse™ Detection Reagents incorporate Nanogen’s proprietary MGB™, Eclipse® Dark Quencher, and modified nucleotide technologies into a real-time PCR detection platform used by clinical diagnostic laboratories to provide information for accurate and timely medical decision making. Under the agreement, ARUP and Nanogen will collaborate on the development and validation of infectious disease assays for use in the clinical diagnostic laboratory. www.aruplab.com. Specialty Labs Nanogen has licensed its MGB™ and other technologies to Specialty Laboratories, a leading full-service reference laboratory. Under the collaboration, Specialty Labs is including Nanogen technology in their assays to determine whether abnormal cells remain in an individual's bloodstream following therapy to eradicate human leukemia's.
